This User Agreement ("Agreement") is a legal agreement between you the ("User")
and 2137378 Ontario Inc. ("ThePureLanguage.com"). By clicking on the "I Agree
to the Terms and Conditions" box, you acknowledge that you have read this
Agreement, understand it, and agree to be bound by its terms and conditions.
Privacy and Email: ThePureLanguage.com does not rent or sell
your personal information to anyone without your express
permission. You agree to receive email communications including alerts,
announcements, updates essential to maintaining our software and services. You
agree for PayPal.com to process your payment information as outlined on their website: Privacy Policy for PayPal Services.
Payment: You agree to pay to ThePureLanguage.com the charges for the service plan or software you select using a
valid payment method through PayPal.com together with complete, accurate and
up-to-date payment information as required by PayPal.com. Your member's
translation access starts when your payment has been successfully processed by
Paypal.com (usually soon after successful payment). The charges are not
reoccurring. ThePureLanguage.com reserves the right to
reject any payment or order. Charges are billed in advance at the start of the
applicable period of service, in accordance with the prices, plans and terms in
effect at time of billing as posted on ThePureLanguage.com's Web site.
Refunds: ThePureLanguage.com does not issue refunds of the
paid amount in the event of cancellations or non-use or non-activation.
Right to Modify:
ThePureLanguage.com may modify the terms or scope, in whole or in part, of this Agreement, service, software or change the price of any service or software program in the future without notice to you. If you decide not to accept the modifications you may elect to cancel the service. In the event that ThePureLanguage.com terminates this Agreement or the service, you will be
not entitled to refund of amounts you have already paid for any time periods
following the effective date of termination.
Right to Discontinue:
Although ThePureLanguage.com presently has no plans to discontinue the website or software download,
ThePureLanguage.com does not guarantee it will offer its services or software
in the future. ThePureLanguage.com retains the right to terminate the
ThePureLanguage.com website, software download or updates at any time, for
any reason and without notice. In the event that ThePureLanguage.com terminates this Agreement, website, service or software download, you
will be not entitled to a refund.
Usage Responsibilities: You are responsible for all use of your ThePureLanguage.com member services and for the security
of your login information (email address and password) to protect access to your data, ThePureLanguage.com
personal profile, personal word list, network and user access, and any
information you disseminate through use of ThePureLanguage.com services or
through other Internet services.
An online account with ThePureLanguage.com is
required to use the enhanced translation service or flash card program. Your
information when creating or updating such an account includes your email
address and password. ThePureLanguage.com stores and uses your email address and
password to verify your access rights to, the service plan or software.
No Resale and Reasonable use: ThePureLanguage.com software and services may not be copied, resold, leased,
transferred, exchanged or bartered. You must not use this service in any way
that causes an unreasonable load on the system or deviates from its intended
use. You must not set up any automated programs to interact or act upon our
systems without prior written consent from ThePureLanguage.com. You must not cause an unreasonable or unwanted load on any third party
systems. Upon acceptance of these terms, you have a nonexclusive license to use
the Service. You agree not to modify, change, disassemble, decompile or
otherwise reverse engineer any software or service provided by
ThePureLanguage.com. You must not cause or allow robots
or other automated processes to act upon or interact with ThePureLanguage.com's
Web site or systems or user interfaces without prior written consent from
ThePureLanguage.com.
Links to Third Parties:
The inclusion of any link does not imply endorsement by ThePureLanguage.com of the site or any association with their operators.
Because ThePureLanguage.com has no control over such
sites and resources, you agree that ThePureLanguage.com is not responsible or liable for the availability or the operation of such
external sites, for any material located on or available from any such sites,
or for the protection of your privacy data by third parties.
Any dealings with or participation in promotions of advertisers on our website,
including the payment and delivery of related goods or services, and any other
terms, conditions, warranties, or representations associated with such dealings
or promotions, are solely between you and the advertiser or other third party.
You further agree that ThePureLanguage.com shall not be
responsible or liable, directly or indirectly, for any loss or damage caused by
the use of or reliance on any such material available on or through any such
site or any such dealings or promotions.
Limitation of Liability: You agree to
indemnify and hold harmless ThePureLanguage.com for any loss, liability, and
damage arising from or in connection with the contents, service, download,
install, usage of any ThePureLanguage.com software, service or website. You the User
agree that ThePureLanguage.com is not liable for any
monetary amount with regard to any ThePureLanguage.com software program or service.
In no event shall
ThePureLanguage.com be liable, whether in contract, tort
(including negligence) or otherwise, for any direct, indirect, incidental or
consequential damages (including lost savings or profit, lost data, business
interruption or opportunity) or other damages whatsoever, even if
ThePureLanguage.com is notified in advance of such possibility. This includes
damages incurred by the user, the users's own customers or any third party.
ThePureLanguage.com does not accept any responsibility
to maintain, host, backup your personal word list and is not responsible for
loss of data, corruption of data, or accidental deletions to this information,
or online translation data and no backup or restore from backup service will be
provided. ThePureLanguage.com shall not be liable for
non-performance or delay in performance caused by any reason, whether within or
outside of its control.
ThePureLanguage.com is not responsible, directly, indirectly or
consequentially, for the content or the suitability or accuracy of the
information contained on the ThePureLanguage.com website or the suitability or
accuracy of the translation generated by ThePureLanguage.com website.
ThePureLanguage.com has exercised reasonable care to ensure that the
translation generated by ThePureLanguage.com is reasonably correct based on the
ThePureLanguage.com team's personal knowledge and reference material available,
but ThePureLanguage.com does not guarantee that the translation generated is
accurate or correct in any way.
Warranty Disclaimer: Neither party will be liable for any
failure or delay in performing any obligation under this agreement that is due
to causes beyond its reasonable control, such as natural catastrophes,
government acts or omissions, laws or regulations, labor strikes,
communications systems breakdowns, hardware or software failures,
transportation stoppages or slowdowns, or the inability to procure supplies or
materials. The Software and Download are provided "AS IS, AS AVAILABLE" without
any warranty of any kind with respect to the quality, performance or
functionality.
Governing Law: This Agreement shall be governed by the laws of
the Province of Ontario Canada and Canadian federal law and you consent to the
jurisdiction of the provincial and federal courts located in the Province of
Ontario Canada.
Copyright: ThePureLanguage.com software and services,
including translation text, website text, data, graphics, images, photographs,
email, messages and other materials, all data, all translations and programs
contained therein is owned by 2137378 Ontario Inc. and is protected Canadian
copyright laws, international copyright treaties, and other intellectual
